Nothing in these Terms creates a fiduciary relationship between the parties.

Imperium shall not be liable for delays or failure to perform resulting from events beyond its reasonable control.

The Client appoints Imperium as its authorized agent solely for the purpose of registering the Client’s brand and

campaigns with A2P 10DLC registries and telephony providers.

3. Eligibility

You must be at least 18 years old to use our services. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.

4. Communications

By engaging with Imperium Partners Group Ltd’s services or submitting your contact information through our website, forms, booking systems, chat interfaces, or consultation request systems, you expressly consent to receive service-related communications from Imperium via email, SMS messages, and phone calls, including communications delivered using automated technology, where permitted by law.

Communications are limited to matters related to your inquiry, consultation, scheduled appointment, service delivery, or responses to user-initiated requests. Message frequency may vary. Message and data rates may apply. Consent to receive communications is not a condition of purchase.

You may withdraw consent to receive SMS communications at any time by following the opt-out instructions outlined in Section 4.1 below.

Imperium does not send unsolicited marketing messages and only communicates with individuals who have provided consent or requested contact.

5. Subscription, Fees, and Payment

5.1 Minimum Term

All services are subject to an initial minimum commitment of two (2) months unless otherwise agreed in writing.

5.2 Fees

Fees are billed monthly in advance and processed via Stripe or another approved payment provider.

5.3 Late Payments

Failure to make timely payment may result in service suspension or termination.

6. Refund and Satisfaction Guarantee

Imperium offers a conditional satisfaction guarantee aligned with the structure of our services.

6.1 Initial Service Period

During the initial service period, clients may notify Imperium in writing within fourteen (14) days of service commencement if they believe the agreed initial deliverables have not been completed as outlined. Imperium will review the claim in good faith and may, at its discretion, make reasonable adjustments to the service or issue a partial refund.

6.2 Active Campaign Period

Once live campaigns or outreach activity has commenced, fees become non-refundable. During this period, Imperium will continue to actively manage, optimise, and operate the campaign with the objective of generating booked meetings, however specific results or outcomes are not guaranteed.

Fees paid for completed work, third-party tools, platform costs, advertising spend, or active campaigns are non-refundable under all circumstances.

For partnership or commission-based models, Imperium reserves the right to audit relevant CRM records with 7 days' notice to verify commission accuracy.

7. Client Responsibilities

You agree to provide accurate information, timely feedback, and all materials, access credentials, and approvals reasonably required for service delivery, including but not limited to domains, email or messaging accounts, advertising accounts, calendars, and third-party platforms.

Imperium is not responsible for delays, performance issues, or missed timelines resulting from incomplete, inaccurate, or delayed client-provided information, access, or approvals.

You represent and warrant that you have the legal right to engage, contact, and communicate with prospects introduced through Imperium’s services and that your use of such leads complies with applicable laws and regulations.

The Client is responsible for ensuring that all use of Imperium’s services complies with applicable laws, including but not limited to TCPA, CAN-SPAM, and other communications regulations.

Imperium does not provide legal advice and does not guarantee client compliance with communications regulations. Clients are solely responsible for ensuring their use of Imperium’s services complies with all applicable laws, including TCPA, CAN-SPAM, and related regulations.

Client acknowledges that New York law may require specific disclosures for AI-generated synthetic performers in advertisements and agrees to ensure all creative materials comply with local disclosure mandates.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or non-public information shared during the course of service delivery.

9. Data and Records

Imperium may collect, store, and process lead and prospect information within its systems and third-party platforms, solely for the purpose of delivering the agreed services.

While Imperium takes reasonable steps to maintain the availability of such data during the term of service, Imperium does not guarantee long-term data retention or act as a data backup or archival service.

Upon termination of services, clients are responsible for exporting or retaining any data, leads, or records they wish to keep. Imperium is not responsible for data loss following service termination or account deactivation.

10. Intellectual Property

All methodologies, systems, documentation, and materials provided by Imperium remain the intellectual property of Imperium unless otherwise agreed in writing.

11. Disclaimer

Services are provided on an “as is” and “as available” basis without warranties of any kind.

Imperium does not guarantee specific financial results, revenue, sales, or client acquisition outcomes. The success of any outreach or appointment-setting activity depends on multiple factors outside Imperium’s control, including the client’s offer, pricing, sales process, and responsiveness.

Client acknowledges that automated voice technology may occasionally produce unintended or inaccurate responses ('hallucinations'). Imperium is not liable for any verbal representations or errors made by AI agents during live interactions.

12. Limitation of Liability

Imperium shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of our services.

Imperium’s total liability under these Terms shall not exceed the fees paid by the Client in the two (2) months preceding the claim.

13. Indemnification

You agree to indemnify and hold Imperium harmless from claims arising from your use of our services or violation of these Terms.

14. Termination

After the minimum term, either party may terminate services by providing thirty (30) days’ written notice. Services and billing continue during the notice period unless otherwise agreed in writing.

15. Governing Law

These Terms are governed by the laws of England and Wales.

16. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of services constitutes acceptance of revised Terms.
